Terms & Conditions

Welcome to Joshua, a service of Penzu Inc. (“Penzu,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Joshua website, mobile site, and SMS-based chatbot service (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or make purchases.
When you create an account, you must provide accurate information, keep it current, and maintain the confidentiality of your credentials. You are responsible for all activity under your account.

2. Changes to the Service or Terms

We may update the Service or these Terms at any time. Material changes will be announced via the Service or email. Continued use after changes become effective constitutes acceptance.

3. User Content

“User Content” means any text or other material you submit, transmit, or display through the Service (including SMS messages).

License to Penzu. By posting or sending User Content you grant Penzu a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform that content for the purpose of operating and improving the Service.

4. Prohibited Conduct

You agree not to:

Violate any applicable law.
Infringe anyone's intellectual-property or privacy rights.
Transmit spam, malware, or harmful code.
Interfere with or disrupt the Service or attempt to access it using unauthorized means.

5. Communications; Opt-Out

We may send you transactional, promotional, and administrative communications via SMS or email. You may opt out at any time:

SMS: Reply STOP to any message to cease SMS communications.
Email: Use the “unsubscribe” link in any marketing email, or adjust your notification settings within your account.

Transactional messages required to fulfill a service (e.g., purchase receipts) may still be sent.

6. In-App Purchases & Subscription Plans

Some features are available only via one-time in-app purchases or recurring subscription plans (“Paid Features”).
Prices, billing cycles, and renewal terms are disclosed at purchase. Subscriptions renew automatically unless you cancel before the renewal date.
Payments are processed by our third-party payment processor; additional terms may apply.

7. Promotions, Contests & Sweepstakes

We may offer promotions, contests, or sweepstakes. Additional rules will govern such activities. In the event of conflict, those rules prevail over these Terms.

8. Feedback

If you provide ideas, suggestions, or other feedback, you agree that Penzu may use such feedback without notice, attribution, or compensation to you.

9. Intellectual Property

The Service (excluding User Content) is owned by Penzu and protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

10. Third-Party Links & Services

The Service may link to third-party websites or services. We are not responsible for third-party content or practices; access at your own risk.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENZU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENZU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability will not exceed the greater of USD 100 or the amount you paid to us for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold Penzu harmless from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access at any time for any reason. Sections that by their nature should survive termination (e.g., licenses, disclaimers, limitations of liability) shall survive.

15. Governing Law & Dispute Resolution

United States Users. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. All disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive any right to participate in class actions.
Canadian Users. Where local laws prohibit mandatory arbitration or class-action waiver, disputes will be subject to the courts of the Province of Ontario, and Canadian federal and provincial consumer laws will apply.

16. International Use

We make no representation that the Service is appropriate or available outside the U.S. and Canada. Users accessing the Service elsewhere do so on their own initiative and are responsible for compliance with local laws.

17. Electronic Communications

By using the Service, you consent to receive all notices and disclosures electronically, unless you withdraw consent as permitted by law.

18. Miscellaneous

These Terms constitute the entire agreement between you and Penzu regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
